CONSULTATION SERVICE AGREEMENT

1. Acceptance of Agreement

BY COMPLETING YOUR PURCHASE OF A CONSULTATION THROUGH HTTPS://CONSULTATION.ACCENT-U.COM, YOU AGREE TO BE BOUND BY THIS CONSULTATION SERVICE AGREEMENT (“AGREEMENT”). IF YOU DO NOT AGREE, DO NOT COMPLETE YOUR PURCHASE.

This Agreement is entered into between you (“Client”) and ACCENTU INC. Inc., a New York S-corporation (“ACCENTU INC.,” “we,” or “us”). It is enforceable under the federal ESIGN Act (15 U.S.C. §7001 et seq.) and the New York Electronic Signatures and Records Act (NY State Technology Law §§301–309).

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to purchase a Consultation. By purchasing, you represent that you meet these requirements and that all information you provide is accurate and complete.

3. Description of the Consultation Service

3.1 What the Consultation Is

The ACCENTU INC. Consultation is a single, up-to-45-minute live, one-on-one online pronunciation analysis and personalized planning session. The Consultation consists of five stages:

  • Pronunciation analysis — identification of pronunciation patterns that differ from American English norms.
  • Personal accent profile — assessment of the Client’s specific phonetic strengths and areas for improvement.
  • Timeline assessment — an estimated timeframe for achieving the Client’s stated pronunciation goals.
  • Format recommendation — a suggested practice format compatible with the Client’s schedule and resources.

3.2 What the Consultation Is Not

THE CONSULTATION IS NOT, AND SHALL NOT BE CONSTRUED AS:

  • a licensed educational service, course, tutoring session, or academic instruction of any kind;
  • speech-language pathology, speech therapy, voice therapy, or any other licensed clinical or therapeutic service;
  • a diagnosis, assessment, or treatment of any speech disorder, language disorder, communication disorder, voice disorder, fluency disorder, or any other medical or clinical condition;
  • a substitute for evaluation or treatment by a licensed speech-language pathologist, physician, audiologist, psychologist, or any other licensed healthcare or clinical professional;
  • a language proficiency assessment, certification, or credentialing service; or
  • a guarantee of any specific pronunciation outcome, accent change, or professional result.

ACCENTU INC. does not hold a New York State education license. The Consultation does not confer any academic credit, certificate, degree, or professional qualification.

IMPORTANT — NO DIAGNOSIS OR TREATMENT OF SPEECH DISORDERS
ACCENTU INC. does not diagnose, assess, evaluate, or treat speech disorders, language disorders, fluency disorders (such as stuttering), voice disorders, articulation disorders, motor speech disorders, or any other communication disorder or medical condition of any kind. The Consultation is a personal coaching and accent analysis service for individuals who wish to modify their pronunciation habits. It is not a clinical service and is not a substitute for professional medical or speech-language pathology care. If you have or suspect you may have a speech or language disorder, please consult a licensed speech-language pathologist before purchasing this Consultation.

3.3 Nature of the Service

The Consultation constitutes a professional opinion and personalized guidance based on ACCENTU INC.’s proprietary methodology. Results depend entirely on the Client’s individual effort, practice consistency, starting phonetic baseline, and other personal factors. ACCENTU INC. makes no representation or warranty that any specific accent change, pronunciation improvement, or professional outcome will result from the Consultation.

4. Purchase and Price

The Consultation fee is USD $20.00 (or such other amount as displayed at checkout at the time of purchase). All fees are stated and charged in United States Dollars. Payment is processed through Stripe, Inc. By completing your purchase, you authorize ACCENTU INC. to charge the stated fee to your selected payment method.

ACCENTU INC. does not store your full card number. Payment data is handled by Stripe in accordance with Stripe’s Privacy Policy and PCI-DSS standards.

5. Scheduling and Expiration

5.1 Scheduling

After completing your purchase, you will receive a confirmation email with instructions to schedule your Consultation. You are responsible for scheduling your Consultation through the booking link or method provided by ACCENTU INC..

5.2 Three-Month Expiration Window

Your Consultation must be scheduled AND completed within three (3) calendar months of your purchase date (“Expiration Date”).

If you do not schedule and complete your Consultation by the Expiration Date:

  • your Consultation will expire automatically;
  • the Consultation fee will be forfeited in full; and
  • ACCENTU INC. has no further obligation to provide the Consultation.

By completing your purchase, you acknowledge and agree that:

  • the three (3) month expiration period is a material term of this Agreement;
  • the Consultation is a time-limited service offering with perishable scheduling capacity; and
  • failure to schedule within this period constitutes non-use of the service, not non-delivery.

ACCENTU INC. may proactively reach out to you, as well as send one or more reminder emails or messages prior to the Expiration Date as a courtesy; however, you remain solely responsible for scheduling your Consultation before it expires.

No extensions, credits, or refunds will be issued for an expired Consultation, except where required by applicable law.

5.3 Rescheduling by Client

You may reschedule your Consultation at no charge, provided you give at least twenty-four (24) hours’ advance notice before the scheduled appointment time. To reschedule, contact ACCENTU INC. at reply.accentu@gmail.com or through the booking system.

Reschedule requests made with less than twenty-four (24) hours’ notice will be treated as a late cancellation under Section 6.2 and are not eligible for a refund or free reschedule. ACCENTU INC. may, in its sole discretion, offer a one-time courtesy reschedule in such circumstances, but is not obligated to do so.

5.4 Cancellation or Rescheduling by ACCENTU INC.

If ACCENTU INC. must cancel or reschedule a confirmed Consultation appointment, we will notify you as soon as practicable and offer you the choice of: (a) a rescheduled appointment at a mutually agreed time, or (b) a full refund of the Consultation fee. This is the sole remedy available to you for an ACCENTU INC.-initiated cancellation.

6. Refund and Cancellation Policy

PLEASE READ THIS SECTION CAREFULLY. IT GOVERNS YOUR REFUND RIGHTS AND IS A MATERIAL TERM OF THIS AGREEMENT.

6.1 Full Refund — Pre-Scheduling

If you have purchased a Consultation but have not yet scheduled an appointment, you may request a full refund within fourteen (14) calendar days of your purchase date. To request a refund, email reply.accentu@gmail.com from your registered email address with the subject line “Refund Request — Consultation — [Your Full Name].” Approved refunds will be credited to your original payment method within thirty (30) calendar days, less any non-refundable Stripe processing fees.

6.2 No Refund — Late Cancellation (Less Than 24 Hours’ Notice)

NO REFUND WILL BE ISSUED if you cancel your scheduled Consultation appointment with less than twenty-four (24) hours’ notice before the scheduled start time.

You acknowledge and agree that:

  • ACCENTU INC. reserves a specific time slot exclusively for your appointment;
  • late cancellations prevent that time from being offered to other clients; and
  • the Consultation is therefore considered delivered for purposes of this Agreement in the event of a late cancellation.

Exception: ACCENTU INC. may, in its sole discretion, offer a one-time reschedule in the case of documented emergency circumstances, but is under no obligation to do so.

This policy is clearly disclosed prior to purchase and scheduling and constitutes a material condition of the service.

6.3 No Refund — No-Show

NO REFUND WILL BE ISSUED if you fail to appear for your scheduled Consultation appointment without advance notice (“No-Show”). A No-Show is defined as failing to join the session within fifteen (15) minutes of the scheduled start time without prior communication. A No-Show constitutes a forfeiture of your Consultation and the fee paid.

6.4 No Refund — Completed Consultation

NO REFUND WILL BE ISSUED once the Consultation has been conducted, in whole or in part. The commencement of the session — defined as the moment ACCENTU INC.’s consultant joins the call and the session begins — constitutes delivery of the service. The fact that the session lasted less than the maximum 45 minutes (for reasons attributable to the Client) does not entitle the Client to a partial refund.

6.5 No Refund — Expired Consultation

NO REFUND WILL BE ISSUED for a Consultation that has expired under Section 5.2 (not scheduled and completed within three months of purchase).

6.6 Partial Sessions

If a Consultation is interrupted due to a technical failure on ACCENTU INC.’s end after commencing, and ACCENTU INC. is unable to resume the session within a reasonable time, ACCENTU INC. will offer a full reschedule at no additional charge. If the interruption is due to the Client’s internet connection, hardware, or other circumstances within the Client’s control, no refund or reschedule will be provided.

6.7 Chargebacks


You agree to contact ACCENTU INC. at reply.accentu@gmail.com to attempt to resolve any billing concern before initiating a chargeback or payment dispute with your bank or payment provider.

If a chargeback is initiated for a Consultation that was:

  • delivered;
  • forfeited under Sections 5.2, 6.2, 6.3, or 6.4; or
  • otherwise consistent with the terms of this Agreement;

ACCENTU INC. reserves the right to:

  • contest the chargeback with supporting documentation, including this Agreement and records of your acceptance; and
  • provide evidence that the transaction was valid, authorized, and consistent with clearly disclosed policies.

Where a chargeback is determined to be improper or abusive, ACCENTU INC. reserves the right to deny future services to the Client.

Nothing in this section limits your rights under applicable consumer protection or billing dispute laws.

7. Session Conduct and Recording

7.1 Platform

The Consultation is conducted via an online video conferencing platform (such as Zoom, Google Meet, or a platform designated by ACCENTU INC.). You are responsible for having a working internet connection, a device with audio and video capability, and any software required to participate.

7.2 Recording by ACCENTU INC.

ACCENTU INC. may record the Consultation session for internal quality assurance and service improvement purposes. By booking a Consultation, you consent to such recording. ACCENTU INC. will not publicly publish a full recording of your session without your separate, express written consent.

7.3 Recording by Client

You may not record the Consultation session — in whole or in part — by any means (audio, video, screen capture, or otherwise) without ACCENTU INC.’s prior written consent. Unauthorized recording is a violation of this Agreement and may constitute a violation of applicable law.

7.4 Client Conduct

You agree to engage respectfully during the Consultation. ACCENTU INC. reserves the right to terminate a session immediately if the Client engages in abusive, harassing, or threatening behavior. Termination for cause under this section does not entitle the Client to a refund.

8. Use of Client Name, Voice, and Testimonials

ACCENTU INC. does not automatically acquire the right to use your name, voice, likeness, or session content for marketing or promotional purposes. If ACCENTU INC. wishes to use any of the foregoing for advertising, testimonials, or promotional materials, we will obtain your separate, express written consent before doing so. You may decline without affecting your access to the Consultation or any future services.

9. Intellectual Property

All materials provided to you during or after the Consultation — including the personal action plan, exercises, methodology frameworks, and any written summaries — are the intellectual property of ACCENTU INC. Inc. and are protected by US copyright law (17 U.S.C. §101 et seq.).

You receive a personal, non-transferable license to use these materials for your own private pronunciation practice only. You may not share, distribute, reproduce, publish, or use these materials to train or coach others, create competing products, or for any commercial purpose.

10. Disclaimer of Warranties

THE CONSULTATION IS PROVIDED “AS IS.” ACCENTU INC. MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, OR NON-INFRINGEMENT. ACCENTU INC. DOES NOT GUARANTEE ANY SPECIFIC PRONUNCIATION IMPROVEMENT, ACCENT CHANGE, PROFESSIONAL OUTCOME, OR RESULT FROM THE CONSULTATION. INDIVIDUAL RESULTS DEPEND ON FACTORS ENTIRELY WITHIN THE CLIENT’S CONTROL, INCLUDING PRACTICE EFFORT AND CONSISTENCY.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ACCENTU INC.’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THIS AGREEMENT OR THE CONSULTATION SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE CONSULTATION (USD $20, OR THE AMOUNT ACTUALLY CHARGED AT TIME OF PURCHASE).

IN NO EVENT SHALL ACCENTU INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST CAREER OPPORTUNITIES, LOSS OF INCOME, OR EMOTIONAL DISTRESS, ARISING OUT OF THE CONSULTATION OR YOUR USE OF THE MATERIALS PROVIDED..

12. Privacy and Data

ACCENTU INC. collects your name, email address, phone number, and payment details to process your purchase and deliver the Consultation. This information is handled in accordance with our Privacy Policy at https://consultation.accent-u.com/privacy-policy/

Your personal information will not be sold to third parties. It may be shared with Stripe (payment processing) and with scheduling platform providers as necessary to deliver the service. ACCENTU INC. implements reasonable data security measures in accordance with the New York SHIELD Act (NY GBL §899-bb).

You may request deletion of your personal data by emailing reply.accentu@gmail.com. All commercial emails from ACCENTU INC. include an unsubscribe link, as required by the CAN-SPAM Act (15 U.S.C. §7701 et seq.).

13. Force Majeure

ACCENTU INC. is not liable for any failure or delay in delivering the Consultation caused by circumstances beyond its reasonable control, including but not limited to internet outages, platform failures, illness, natural disasters, or government actions. In such cases, ACCENTU INC. will offer you a rescheduled appointment or, if rescheduling is not feasible, a full refund.

14. Governing Law and Dispute Resolution

14.1 Governing Law

This Agreement is governed by the laws of the State of New York, without regard to its conflict-of-law principles.

14.2 Informal Resolution First

Before initiating any formal legal proceeding, you agree to contact ACCENTU INC. at reply.accentu@gmail.com and give us fourteen (14) calendar days to resolve your concern informally.

14.3 Small Claims Court

Given the low transaction value of the Consultation, either party may bring a claim in New York City Civil Court, Small Claims Part (for claims up to $10,000) or the applicable small claims court in your jurisdiction. This is the preferred dispute resolution path for claims related to a single Consultation purchase.

14.4 Binding Arbitration for Larger Claims

For any claim not suitable for small claims court, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, with the arbitration seat in New York, New York (or by video conference). The arbitrator’s decision is final and binding.

14.5 Class Action Waiver

YOU AND ACCENTU INC. AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY. NEITHER PARTY MAY PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION RELATING TO THIS AGREEMENT.

14.6 Venue for Non-Arbitrable Claims

For any matter not subject to arbitration or small claims, the parties consent to exclusive jurisdiction in the state and federal courts of New York County, New York.

14.7 One-Year Limitation

Any claim arising under this Agreement must be brought within one (1) year of the event giving rise to the claim, or it is permanently barred.

15. General Provisions

15.1 Entire Agreement

This Agreement, together with ACCENTU INC.’s Privacy Policy, constitutes the entire agreement between you and ACCENTU INC. with respect to the Consultation and supersedes all prior communications, representations, or agreements.

15.2 Amendments

ACCENTU INC. may update this Agreement from time to time. The updated version will be posted at https://consultation.accent-u.com/public-offer/
Your purchase of a Consultation after the updated effective date constitutes acceptance of the revised Agreement. Changes do not apply retroactively to Consultations already purchased.

15.3 Severability

If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.

15.4 No Waiver

ACCENTU INC.’s failure to enforce any provision does not constitute a waiver of its right to do so in the future.

15.5 Assignment

You may not assign your rights under this Agreement (including a purchased but unused Consultation) to any other person. Your Consultation is non-transferable.
